Supplemental Terms
myNEXT LLC and all of its subsidiaries and affiliates are referred to herein as “myNEXT“, “Company“, “we“, “us“, or “our“.
These Supplemental Terms (“Supplemental Terms“) apply specifically to your access to and use of the “One Pitch Away“ AI application (the “Application“) provided by myNEXT. For purposes of the Application, these Supplemental Terms form part of the Agreement as defined in our Terms of Use and expand upon it. In the event of any conflict between these Supplemental Terms and the Terms of Use, these Supplemental Terms will control with respect to your use of the Application. By accessing or using the Application, you agree to be bound by these Supplemental Terms in addition to our Terms of Use, Privacy Policy, and General Disclaimer.
Capitalized terms used but not defined in these Supplemental Terms have the meanings assigned to them in our Terms of Use.
Scope. These Supplemental Terms govern your use of the One Pitch Away AI application, whether accessed via web, mobile, or any integrated platform. They apply to all users, including participants in limited-access programs such as the Founding Cohort.
Access and Account. Access to the Application may require you to register for an account using a third-party authentication service (such as Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We reserve the right to suspend, modify, or terminate your access to the Application at any time, with or without notice, for violation of these Supplemental Terms, the Terms of Use, or any applicable law.
Minimum Age and Authorized Use. The Application is intended for individuals aged 18 or older. If you are between 13 and 18 years of age, you may only use the Application with the consent and supervision of a parent or legal guardian. By using the Application, you represent and warrant that you meet these requirements. The Application is not intended for children under 13 years of age.
Application Functionality and Availability. We strive to maintain the availability and proper functioning of the Application. However, we do not guarantee uninterrupted or error-free operation. Your access may be suspended or slowed due to maintenance, updates, or outages, including outages caused by third-party service providers upon which we rely. We will use commercially reasonable efforts to restore availability as soon as practicable, but we are not liable for any interruption, delay, or data loss caused by such events.
Ownership and Intellectual Property. All rights, title, and interest in and to the Application – including, without limitation, its underlying software, algorithms, AI modules, scoring systems, persona frameworks, databases, and visual design – are and shall remain the exclusive property of myNEXT LLC.
You retain ownership of your User Content, as defined in the myNEXT Terms of Use. Notwithstanding anything to the contrary in the myNEXT Terms of Use, the rights of myNEXT LLC in your Application-specific submissions of User Content are limited solely to those necessary to operate, maintain, provide, and improve the Application and its underlying models and systems. Proprietary business information, pitch materials, and related submissions will not be used, shared, or incorporated into any public-facing or third-party systems without your explicit consent. This limitation does not apply to testimonials, feedback, or suggestions you provide about the Application, which are governed by the Testimonials, Comments, Feedback, and Suggestions section.
AI-generated outputs (“AI Outputs“) produced through your use of the Application are made available to you for informational purposes only. You may use such outputs freely for your own internal or commercial purposes, but you acknowledge that such outputs are non-exclusive, may be similar to outputs generated for other users, and do not grant you any ownership rights in the underlying models or systems.
Testimonials, Comments, Feedback, and Suggestions. Your testimonials, comments, feedback, or suggestions submitted through or in connection with the Application, whether provided voluntarily or as part of a specific program, promotion, or participation condition (such as the Founding Cohort), are authorized submissions. By providing any testimonial, comment, feedback, or suggestion, you grant myNEXT LLC a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and display such material, in whole or in part, for product-improvement, promotional, or informational purposes, including, without limitation, as described in the Waiver and Release section of our Terms of Use and in our Privacy Policy. Testimonials, comments, feedback, or suggestions may be published with your first name, company name, or other identifying information as permitted under our Privacy Policy. Any testimonial, comment, feedback, suggestion, or other submission that consists of or contains ideas, concepts, or proposals for product or service modifications or enhancements, or for new products or services, becomes the exclusive property of myNEXT LLC, without obligation to compensate you, and may be used for any purpose.
Use of AI Outputs. AI Outputs generated by the Application are based on the data and instructions you provide. These outputs should be considered informational only and should not be relied upon as financial, investment, legal, tax, or other professional advice. You must not use AI Outputs as the sole basis for decisions that could have legal, financial, employment, medical, or other material effects on individuals or organizations. We make no representations or warranties as to the accuracy, completeness, or applicability of any AI Output and shall not be liable for any actions or decisions taken based on such outputs. You are solely responsible for evaluating and using all outputs in your own judgment and at your own risk. You may not use AI Outputs to mislead investors, clients, or other third parties, or to engage in any deceptive or unlawful activity.
Data and Privacy. The collection, storage, and processing of any data you provide through the Application are governed by our Privacy Policy. By using the Application, you acknowledge that data you submit (including business plans, pitch materials, or related content) may be processed, stored, and anonymized including, without limitation, to improve the performance, accuracy, and insights of our AI-powered systems, in accordance with applicable privacy laws. We do not use your proprietary content to train any public-facing or third-party AI models without your explicit consent. If required by applicable law, we will make available a data-processing addendum consistent with these Terms.
Confidentiality and Security Measures. We will treat non-public User Content as confidential and will not disclose it to third parties except as necessary to provide the Application, comply with legal obligations, or enforce its rights. We implements reasonable administrative, technical, and physical safeguards designed to protect the security, integrity, and confidentiality of data processed through the Application. These safeguards may be updated from time to time as technology and best practices evolve.
User Content and Conduct. You are solely responsible for the accuracy, legality, and ownership of all content you upload or submit through the Application. You may not:
– Upload or share confidential or proprietary information of any third party without authorization.
– Submit any malicious code, script, or automated query intended to disrupt or reverse-engineer the Application.
– Use the Application to collect or attempt to infer data about other users or the underlying model.
Violations may result in immediate suspension or termination of access without refund, and we reserve the right to pursue any other remedies available at law or in equity, including without limitation civil or criminal proceedings.
Payment, Credits, and Refunds. Access to certain Application features may require payment of fees, subscriptions, or usage credits (such as Pitch Fuel). All payments are governed by the payment and refund terms in the myNEXT Terms of Use. Pitch Fuel credits or similar usage-based units purchased for the Application are considered fully delivered and non-refundable once credited to your account, regardless of whether they are later used. We may, in our sole discretion, offer promotional or bonus credits or modify credit consumption rates as part of product testing or feature releases. myNEXT does not provide compensation or credit for downtime, service interruptions, or unavailability, whether caused by myNEXT or third-party providers.
Third-Party Integrations. The Application may rely on third-party services or APIs (including but not limited to OpenAI, Clerk, Supabase, and Stripe). Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for any third-party service failures, outages, or data handling practices.
Beta Features and Updates. From time to time, we may offer beta, experimental, or preview features within the Application. Such features are provided “as is“, may be modified or discontinued at any time, and are offered without any warranties. Your participation in beta features is voluntary, and any testimonials, comments, feedback, or suggestions you provide may be used as outlined in the Testimonials, Comments, Feedback, and Suggestions section.
Termination. We may suspend or terminate your access to the Application at any time, without notice, for any conduct that violates these Supplemental Terms, the myNEXT Terms of Use, or applicable law. Termination does not entitle you to any refund, credit, or other compensation except as required by law. Upon termination, we may retain anonymized usage data for analytical or compliance purposes as permitted by law. We are under no obligation to delete or return User Content unless required by applicable law.
Limitation of Liability. The limitation of liability provisions set forth in the Limitation of Liability section of the myNEXT Terms of Use apply in full to your use of the Application, to any User Content you submit through the Application, and to any claims or disputes arising out of or related to the Application or these Supplemental Terms.
Indemnification. The indemnification obligations set forth in the Indemnification section of the myNEXT Terms of Use apply in full to your use of the Application, to any User Content you submit through the Application, and to any violation of these Supplemental Terms or applicable law.
Trade Compliance and Geographic Restrictions. You may not use or access the Application in any jurisdiction subject to U.S. export restrictions or sanctions. You represent and warrant that you are not located in, under the control of, or a national or resident of any such restricted country or region.
Changes to These Supplemental Terms. We may update or change these Supplemental Terms from time to time, in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Application thereafter. Your continued use of the Application following the posting of the revised Supplemental Terms means that you accept and agree to the changes.
